By resolution of March 30, 2012 the Wikimedia Foundation Board of Trustees resolved that the Wikimedia Foundation would create a volunteer-driven body, working title the Funds Dissemination Committee, whose sole purpose would be to make recommendations to the Wikimedia Foundation for funding activities in support of the movement's mission goals, and directed its Executive Director to lead the creation of such an FDC, with a preliminary plan due by June 30, 2012. The resolution states that the FDC's work should be guided by principles laid out in the Board's own January 2012 resolution, among them supporting decentralized programs. It was approved by ten trustees: Phoebe Ayers, Ting Chen, Bishakha Datta, Matt Halprin, Samuel Klein, Arne Klempert, Jan-Bart de Vreede, Jimmy Wales, Kat Walsh and Stu West.
"To support a broader and more inclusive decision-making process for funds distribution, the Wikimedia Foundation will create a volunteer-driven body (working title: the Funds Dissemination Committee, or FDC) whose sole purpose will be to make recommendations to the Wikimedia Foundation for funding activities and initiatives in support of the mission goals of the Wikimedia movement. [...] The Board supports the direction of the initial thinking provided by the Executive Director on the design of the Funds Dissemination Committee, and directs the Executive Director to lead the creation of such an FDC."
